What is changing?
The year 2023 marks a major turning point for the non-profit sector in Luxembourg.
With the passing of Bill No. 6054 in the Chamber of Deputies and its entry into force on 23 September 2023, the sector is set to benefit from a modernised and simplified legal framework.
The new Law of 7 August 2023 on ASBLs and foundations aims to update and simplify the law governing associations and foundations, some provisions of which date back nearly a century. These changes are the result of a procedure aimed at simplifying administrative formalities, enhancing legal certainty and promoting greater transparency.

How to proceed
Associations and foundations can now change their legal form, or merge with other associations/foundations.
Associations no longer need to file a list of their members with the RCS every year! They simply need to keep an up-to-date list of their members at their registered office.
